1. Introduction

These Terms and Conditions ("Terms") govern your use of the Headrest Ads website and services. By accessing our website or using our services, you agree to be bound by these Terms.

Headrest Ads is a trading name operated in the United Kingdom.

2. Definitions

  • "Platform" means the Headrest Ads website and all related services
  • "Advertiser" means any business or individual using our advertising services
  • "Driver Partner" means any taxi/rideshare driver registered with our network
  • "Content" means any advertisements, media, or materials submitted to us
  • "Services" means our in-taxi digital advertising services

3. Use of Our Services

3.1 Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Provide accurate and complete information during registration

3.2 Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

4. Advertiser Terms

4.1 Advertising Content

As an Advertiser, you agree that:

  • All advertising content must comply with UK advertising standards (ASA/CAP codes)
  • Content must not be misleading, offensive, defamatory, or illegal
  • You have all necessary rights and permissions for submitted content
  • We reserve the right to reject or remove any content at our discretion

4.2 Payment Terms

  • Advertising fees are as quoted or agreed in writing
  • Payment is due within 30 days of invoice unless otherwise agreed
  • Late payments may incur interest at 8% above the Bank of England base rate
  • All prices are exclusive of VAT unless stated otherwise

4.3 Campaign Performance

While we strive to deliver optimal campaign performance, we do not guarantee specific results, impressions, or conversions. Performance metrics are provided for informational purposes.

5. Driver Partner Terms

5.1 Registration Requirements

Driver Partners must:

  • Hold a valid taxi/private hire license
  • Have appropriate vehicle insurance
  • Provide accurate vehicle and personal information
  • Maintain the headrest screens in good working condition

5.2 Equipment

  • Headrest screens remain the property of Headrest Ads
  • Installation and removal will be conducted by our authorized technicians
  • You must not attempt to modify, repair, or remove the equipment
  • You must report any equipment faults or damage promptly

5.3 Earnings

  • Driver Partner earnings are based on active screen time and ad impressions
  • Payments are made monthly to your nominated bank account
  • You are responsible for your own tax obligations
  • We reserve the right to adjust payment terms with reasonable notice

5.4 Partnership Status

Driver Partners are independent contractors, not employees. This agreement does not create an employment relationship, partnership, or joint venture.

6. Intellectual Property

6.1 Our IP

All intellectual property rights in the Platform, including trademarks, logos, content, and data, belong to Headrest Ads or our licensors. Software, platform, database structure, and system infrastructure intellectual property rights belong to PartnerMe AI. You may not use our IP without written permission.

6.2 Advertiser IP

Advertisers retain ownership of their advertising content. By submitting content, you grant us a non-exclusive license to display, distribute, and modify it for the purpose of providing our services.

7. Data Protection

We process personal data in accordance with our Privacy Policy and UK GDPR. By using our services, you consent to such processing.

8. Limitation of Liability

8.1 No Warranty

Our services are provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability or fitness for a particular purpose.

8.2 Liability Cap

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid to us in the 12 months preceding the claim
  • We are not liable for any loss of profits, data, or business opportunities

8.3 Exclusions

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

9. Indemnification

You agree to indemnify and hold harmless Headrest Ads, its officers, directors, and employees from any claims, damages, or expenses arising from:

  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Your advertising content (for Advertisers)
  • Your conduct while operating a vehicle with our equipment (for Driver Partners)

10. Termination

10.1 By You

You may terminate your account at any time by contacting us. Driver Partners must allow for equipment removal.

10.2 By Us

We may suspend or terminate your account if you:

  • Breach these Terms
  • Provide false or misleading information
  • Engage in fraudulent or illegal activity
  • Fail to make required payments

10.3 Effect of Termination

Upon termination, your right to use our services ceases immediately. Provisions that should survive termination (e.g., IP, liability, indemnification) remain in effect.

11. Modifications

We may modify these Terms at any time. We will notify you of material changes via email or website notice. Continued use after changes constitutes acceptance of the new Terms.

12. Governing Law & Disputes

  • These Terms are governed by the laws of England and Wales
  • Any disputes shall be subject to the exclusive jurisdiction of the English courts
  • We encourage resolution through informal negotiation before legal action

13. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Headrest Ads
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any right does not constitute a waiver of that right
  • Assignment: You may not assign your rights without our consent; we may assign ours
